摘 要
MBO这项政策在我国实际操作中，多次被叫停，并引发了许多社会问题，如产权不明确、国有资产流失等。国家非常关心国有企业在MBO过程中产生的问题，并希望通过制度的完善达到国有企业的完美改革。
本文首先介绍MBO的理论概述，以及MBO在我国国有企业中产生的影响。然后指出国有企业在MBO的过程中产生的一系列问题，尤其是财务上的问题。最后分析出一些解决国有企业MBO问题的办法，并展望MBO在我国未来的发展情况。

Abstract
MBO is the way to buy the company by the managers. The managers want to be the stockholders and make enough earning for the company. For solving the assets problem, China used the way of MBO in the State-owned Company. But when MBO was used in the State-owned Company, there were many tough problems happened.
This article begins with the origin of the MBO theory, the concept and principium of MBO, and the effect in the State-owned Company. After that, introduce and analyze the problems of MBO in the State-owned Company, especially the problem of the finance. Last, find a way to solve the problems and expect the future of the MBO in China.
