内容摘要：商事登记的法律效力作为商事登记法律制度的一项核心内容，对此进行研究具有重大意义。但我国学者少有人对此进行认真的探讨。本人在此对商事登记的法律效力作出了比较深入的探讨，分别从商事登记的法律效力、商事登记对于不同商事主体的法律效力、不实登记的法律效力和特殊登记的法律效力，这几方面对商事登记的法律效力进行探讨。希望可以让商事主体清楚登记的效力如何，让他们明白商事登记在“保护社会交易安全，维护公众利益”和“保障商事主体权益”等方面具有重大的意义。

Abstract：The legal force of commercial registration, is one of the core contents in the legal system.Making a research on it holds important significance . But scholars have seldom investigated on it in China . The author has made a in-depth study on it ,from four aspects as followings: the legal force of commercial registration , the legal force of commercial registration for different subjects , the legal force of false registration and the legal force of special registration . It is hoped that the commercial subjects can understand the full knowledge of registration force and the important significance of commercial registration on the “ protect the safty of trade fair , maintain the public benefits” and “defend commercial subjects’ rights and benefits”.
